These terms of use (“Terms of Use”) describe how AuditDashboard collects and uses information, about visitors to our website, www.auditdashboard.com (the “Website”) and are a legal agreement between AuditDashboard and the visitor to the Website (“you”). Further, it describes user's responsibilities with all AuditDashboard's products. By browsing and using the Website you are deemed to have read and are indicating your acceptance of, and agree to be bound by, the terms and conditions of these Terms of Use which shall govern your access and use of the Website. Please exit this Website immediately if you do not accept the Terms of Use or are in a jurisdiction where the use of the Website is not permitted. 

Personal Information. AuditDashboard does not collect any personally identifiable information about you when you visit the Website unless you voluntarily provide this information, for example by sending queries, comments or other feedback, requesting a demo or responding to job listings on the Website. Personal information collected in these cases may include your name, email address, telephone number and other optional information. 

It is always your choice whether to provide personal information to us and by doing so, you acknowledge and agree that you are giving AuditDashboard your consent to collect, use and disclose that information to respond to your requests, to contact you and to provide information about AuditDashboard’s products, services and opportunities and to assess your application if you have provided personal information in connection with a job listing. AuditDashboard reserves the right to retain whatever information you submit. If we plan to use your personal information in future for any purposes other than those identified above or those specifically identified at the time of request or collection, we will only do so after informing you by updating this Privacy Statement. 

Security. AuditDashboard uses commercially reasonable efforts to store and maintain your personal information, if any, in a secure environment on our servers and except to comply with legal and regulatory requests or requirements, we will not share or disclose your personal information, if any, to any third party without your consent. 

Other Information & Sources. AuditDashboard automatically and passively collects certain statistical and other data about visitors who use or visits to the Website. This information includes IP addresses, statistics on pages viewed, web browsers and operating systems. This information is not personal information and is used by AuditDashboard to improve the Website and our services. AuditDashboard reserves the right to use this non-personally identifiable information to improve the Website and our services. The “passive information collection” technologies that we use may include “cookies”. AuditDashboard does not warrant or guarantee the accuracy, completeness, correctness, adequacy, suitability, timeliness, or usefulness of the any information you may find on, or download from, the Website. Use of the Website is at your own risk. The Internet is not a secure medium and privacy and confidentiality cannot be guaranteed. AuditDashboard will not be responsible for any damages you or a third party may suffer as a result of your use of the Website, including without limitation, any use of materials or information found on the Website other than as expressly authorized by these Terms of Use. IN NO EVENT WILL AUDITDASHBOARD, ITS DIRECTORS, OFFICERS, AFFILIATES, AGENTS, EMPLOYEES AND LICENSORS, OR CONTENT PROVIDERS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OR REVENUE OR INCOME, PAIN AND SUFFERING, EMOTIONAL DISTRESS, OR SIMILAR DAMAGES, ARISING OUT OF OR RELATED TO THE USE, INABILITY TO USE, AUTHORIZED USE, PERFORMANCE, OR NONPERFORMANCE OF THIS WEBSITE, EVEN IF AUDITDASHBOARD WAS PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF WHETHER SUCH DAMAGES ARISE IN CONTRACT, TORT, UNDER STATUTE, IN EQUITY, AT LAW, OR OTHERWISE. 

Indemnification. You agree to indemnify and hold AuditDashboard, its directors, officers, affiliates, agents, employees and licensors or content providers harmless from and against all losses, expenses, damages, and costs, including reasonable legal fees, resulting from your use of the Website or your violation of these Terms of Use. 

Applicable Laws. These Terms of Use are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein without giving effect to any principles of conflicts of laws. You hereby consent and submit to the exclusive jurisdiction of the courts of the Province of Ontario in any action or proceeding instituted under or related to this agreement. If you access the Website from outside of Canada, you are responsible for compliance with the laws of the country or territory in which you are located. 

Canceling the Services. To cancel the Services, you must provide us with at least 30 days' notice. If you cancel, the Services will end at the end of your current Services period following the 30 days' notice. If you fail to cancel as required, we will automatically renew the Service for the same term and will charge your payment information on file with us commencing on the first day of the renewal term. 

Contact Us. We reserve the right to limit or terminate your access to the Website and to change these Terms of Use or discontinue the Website at any time, and if we decide to do so in the future, we will post an appropriate notice on the Website. The date set out at the top of this Privacy Statement indicates the date of last revision. General. If any provision of these Terms of Use is found to be invalid by any court of competent jurisdiction, the invalidity of any such provision shall not affect the validity of the remaining provisions of the Terms of Use, which shall remain in full force and effect. No waiver of any provision of the Terms of Use shall be deemed a further or continuing waiver of any such provision or any other provision. These Terms of Use and any other legal notices on the Website constitute the entire agreement between you and AuditDashboard.
